SC Declines Plea Against WeWork India IPO

The Supreme Court of India on Tuesday declined to interfere with the Bombay High Court’s dismissal of a challenge to the Initial Public Offering (IPO) of WeWork India Management Pvt. Ltd.

A Bench comprising Justice Pamidighantam Sri Narasimha and Justice Alok Aradhe dismissed the Special Leave Petition (SLP) No. 8103 of 2026 filed by Hemant Kulshrestha, who alleged deficiencies in the disclosure of material information in WeWork India’s IPO documents.

Background of the Case

The dispute originated from a judgment dated 1 December 2025 of the Bombay High Court, which had rejected writ petitions claiming inadequate and misleading disclosures in the Draft Red Herring Prospectus and the Red Herring Prospectus of WeWork India.

Kulshrestha argued that the documents failed to disclose material information, including criminal proceedings against the company’s promoters. He also sought directions for the Securities and Exchange Board of India (SEBI) to conduct a formal investigation.

High Court Findings

The Bombay High Court found that WeWork India had provided adequate disclosures. The Court clarified that SEBI’s role focuses on ensuring proper disclosure, not assessing the commercial merits or viability of an IPO.

Consequently, the High Court dismissed the writ petitions, holding that no further regulatory action was required.

Supreme Court Decision

On appeal, Kulshrestha filed a Special Leave Petition before the Supreme Court.

However, the Bench refused to entertain the plea, stating:

“We are not inclined to interfere with the impugned order in exercise of our jurisdiction under Article 136 of the Constitution of India.”

Therefore, the Supreme Court dismissed the SLP, upholding the Bombay High Court’s decision.
